Terms of Service

1. Acceptance of Terms

By creating an account, downloading the app, or otherwise using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

3. Eligibility and Accounts

• You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account.
• You must provide accurate information and keep it up to date.
• You may not create accounts for others without their permission or create multiple accounts to circumvent restrictions.

4. Subscriptions, Trials, and Billing

• Paid features may be offered as auto-renewing subscriptions through Apple In-App Purchase.
• Billing, renewal, and cancellation are handled by Apple under your Apple ID settings. To cancel, go to Settings > Apple ID > Subscriptions on your device.
• Any free trial automatically converts to a paid subscription unless canceled at least 24 hours before the trial period ends.
• We do not control Apple's billing systems and do not receive or store your full payment card details.
• Prices may change with reasonable notice. Existing subscribers will be notified before renewal at a new price.

5. License and Restrictions

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for personal, non-commercial use. For iOS apps, usage is also subject to Apple's platform terms and the applicable end-user license framework.

You may not:

• Copy, modify, reverse engineer, decompile, or disassemble the Services.
• Use the Services for any unlawful, abusive, fraudulent, or harmful purpose.
• Scrape, crawl, or use automated means to access the Services without authorization.
• Interfere with or disrupt the integrity or performance of the Services.
• Use the Services for clinical decision automation without qualified human oversight.

6. Health Integrations and User Responsibilities

• You control whether to connect Apple Health/HealthKit and can revoke access at any time via iOS Settings > Privacy > Health.
• You are responsible for the accuracy of data you manually enter into the Services.
• You must not use the Services to create false records, manipulate health data, or violate healthcare laws.

7. AI-Generated Content

• The Services use artificial intelligence to generate insights, summaries, and recommendations based on your data.
• AI-generated content may contain inaccuracies and should be verified independently. It does not replace professional medical judgment.
• You acknowledge that AI outputs are algorithmic suggestions, not clinical conclusions.

8. User Content and Data Ownership

You retain ownership of all data and content you provide to the Services (including health logs, notes, and lab results). By using the Services, you grant Human Codex a limited, non-exclusive license to process this data solely to provide and improve the Services for you. We do not claim ownership over your personal data.

9. Intellectual Property

The Services, including software, algorithms, text, graphics, logos, and trademarks, are owned by Human Codex or its licensors and protected by applicable intellectual property law. These Terms do not grant you any rights to our trademarks, branding, or proprietary technology.

10. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, EXCEPT WHERE PROHIBITED BY APPLICABLE LAW. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Human Codex AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to defend, indemnify, and hold harmless Human Codex and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorney's fees) arising from your misuse of the Services, violation of these Terms, or infringement of any third-party rights.

13. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved through binding individual arbitration administered under the rules of the American Arbitration Association (AAA), rather than in court, except that either party may seek injunctive relief in court for intellectual property matters.

• Class action waiver: You agree that disputes will be resolved on an individual basis and waive any right to participate in a class, collective, or representative action.
• Small claims exception: Either party may bring qualifying claims in small claims court.
• The arbitration shall take place in San Juan, Puerto Rico, or at a mutually agreed location.

14. Suspension and Termination

We may suspend or terminate your access to the Services for violations of these Terms, legal requirements, or security risks. Upon termination, your license to use the Services ceases. Sections that by their nature should survive termination (including disclaimers, liability limitations, indemnification, and arbitration) will survive.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Puerto Rico and applicable federal law of the United States, without regard to conflict-of-law principles, unless local mandatory law in your jurisdiction requires otherwise.

16. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated through the app, website, or email. Continued use of the Services after updates become effective constitutes acceptance of the revised Terms. If you do not agree with updated Terms, you must stop using the Services.
